Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website located at emceemgmtco.com, including all subdomains and associated pages (the "Site"), and all courses, seminars, tools, and consulting services offered by Emcee MGMT Consulting, LLC, a Tennessee limited liability company ("Emcee MGMT Co.," "we," "us," or "our"). By accessing the Site, creating an account, purchasing a course, enrolling in a seminar, or engaging our consulting services, you ("you," "your," or "User") agree to be bound by these Terms. If you do not agree, do not use the Site or our services.
If you are accessing the Site or purchasing a course on behalf of an organization, employer, fire department, venue, or business, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
Description of Services
Emcee MGMT Co. provides the following through the Site and in connection with our business:
Online, interactive training modules in the subject matter of NFPA 1123, 1124, 1126, and 160, and other pyrotechnics, fireworks, and special effects concepts.
In-person and live online seminars providing voice-guided instruction covering display fireworks, proximate pyrotechnics, flame effects systems, and special effects systems, including continuing education seminars, some of which may be approved by specific state regulatory authorities. Emcee MGMT Co. instructs; we do not handle or discharge regulated pyrotechnic product ourselves. Where an in-person seminar includes hands-on handling or demonstration of product, that portion is conducted by a separate, independently licensed partner company. Online seminars are instructional only and do not include a hands-on portion.
Professional consulting services, including design services, risk assessment, compliance consulting, and permit and logistics management for fireworks and special effects companies, fire departments, manufacturers, and venues, as well as small business consulting for first-time small business owners in any industry.
Account and membership tools, including a license tracking and continuing-education-requirement tracking system, a scheduling and coordination tool, and a certificate verification / lookup tool for confirming completion of Emcee MGMT Co. training.
Expert witness services specific to fireworks, pyrotechnics, and special effects litigation, including technical and regulatory analysis, written reports, depositions, and trial testimony, where separately engaged.
Litigation support and paralegal-style services, including case review, legal and factual research, document and timeline preparation, and other support provided to attorneys and legal teams across a range of legal matters, where separately engaged.
We may add, modify, or discontinue any of these services at any time without notice.
Eligibility and Account Registration
You must be at least 18 years old to create an account, purchase an online course, or enter into a consulting engagement with us. Minors under 18 may attend an in-person or online seminar, but only with the advance written consent of a parent or legal guardian, who must register the minor and agree to these Terms on the minor's behalf. Minors are not permitted to participate in any hands-on, live-fire, or practical exercise portion of an in-person seminar. That portion, when included, is conducted by an independently licensed partner company, not Emcee MGMT Co., and eligibility to participate in it is governed by that partner's own age, licensing, and safety requirements. Seminars may have additional age, licensing, or employer-authorization requirements, which will be communicated separately for that specific seminar.
When you register for an account, you agree to provide accurate, current, and complete information, including your state and organization, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@emceemgmtco.com if you suspect unauthorized use of your account.
Course access, licenses, and organizational credentials issued through the Site are for your individual use or your organization's use as applicable, and may not be shared, resold, or transferred except through the transfer process described in Section 4.
Online Training Courses
Online courses are sold on an individual, per-course basis at the price listed at checkout. Payment is due in full at the time of purchase, accepted via the payment processors available at checkout. Group pricing is available by request to info@emceemgmtco.com and is subject to a separate agreement.
All course sales are final. Because our online courses are digital content with immediate access upon purchase, we do not offer refunds once a course has been purchased, regardless of whether it has been started or completed, except where required by applicable law. If you believe you were charged in error, contact us at info@emceemgmtco.com and we will review the issue.
Courses may be transferred to another individual using the transfer function available on the Site.
Completion of an online course, and any certificate issued as a result, confirms only that you completed the training content we provide. It is not, by itself, a license, permit, or legal authorization to perform any pyrotechnic, display, or special effects work, or to purchase fireworks or related product from any manufacturer or distributor. Acceptance of our certificate for any such purpose is at the sole discretion of the manufacturer, distributor, licensing authority, or other third party involved; we do not guarantee that any party will accept it. You are solely responsible for confirming with the applicable state fire marshal, licensing authority, employer, or other authority having jurisdiction (AHJ) what training, licensing, and permitting is legally required for the work you intend to perform, and whether our course satisfies that requirement.
In-Person and Online Seminars
In-person and live online seminars are scheduled directly with us and may be subject to additional seminar specific terms, a separate written agreement, and a liability release or waiver, which will be provided to you before the seminar and which you must sign to participate. If a term in a seminar-specific agreement conflicts with these Terms, the seminar-specific agreement controls for that seminar. Live online seminars are delivered virtually and are instructional only; they do not include a hands-on portion.
Emcee MGMT Co.'s role in an in-person seminar is instructional and voice-guided; we do not physically handle, discharge, or demonstrate pyrotechnic, fireworks, or special effects product. Where a seminar includes a hands on portion, that portion is conducted by a separate, independently licensed and insured partner company under its own supervision, licensing, and safety requirements. Emcee MGMT Co. is not responsible for the acts, omissions, or safety practices of that independent partner or its personnel.
You agree to follow all safety instructions given by Emcee MGMT Co. instructors, by any partner company personnel conducting a hands-on portion, and by the venue where a seminar is held. We reserve the right to remove any participant from a seminar, without refund, for conduct that we determine, in our sole judgment, creates a safety risk to themselves or others or violates applicable law.
As described in Section 3, minors may attend the instructional portion of a seminar with prior written parental or guardian consent, but may not participate in any hands-on portion conducted by our partner company under any circumstances. A parent or legal guardian registering a minor is responsible for the minor's conduct during the seminar and must sign any required registration form and liability release on the minor's behalf.
Nature of Our Industry: Assumption of Risk
Pyrotechnics, fireworks, and special effects work involves inherent, serious risks, including the risk of fire, explosion, serious bodily injury, and death, even when all applicable safety standards, codes, and manufacturer instructions are followed correctly. Our training courses, seminars, tools, and consulting services are intended to inform and educate; they cannot eliminate these risks.
By using our training or consulting services, you acknowledge and voluntarily assume these risks, and you agree that Emcee MGMT Co. is not responsible for injury, death, property damage, or other loss arising from your (or your organization's) handling, storage, transport, display, or use of pyrotechnic or special effects materials or equipment, whether or not related to information provided by us, except to the extent caused by our gross negligence or willful misconduct. Where a participant is a minor attending the instructional portion of a seminar under Section 5, these risks are acknowledged and assumed on the minor's behalf by the parent or legal guardian who registered them.
Where a seminar includes hands-on handling of pyrotechnic or special effects materials, that handling is performed by an independent, separately licensed partner company, not by Emcee MGMT Co., and your interactions with that partner and its personnel are governed by that partner's own terms and safety requirements in addition to ours.
Nothing on the Site or in any course, seminar, or consulting engagement is a substitute for compliance with applicable federal, state, and local law, including NFPA standards, DOT/UN hazardous materials regulations, and the requirements of your local authority having jurisdiction. You are solely responsible for your own compliance and for the compliance of your organization, employees, and event.
Professional, Consulting, and Expert Witness Services Disclaimer
Our consulting services, including design, risk assessment, compliance consulting, permit and logistics management, small business consulting, litigation support work, and expert witness services provided to attorneys, are provided as general professional and technical guidance and opinion based on our training, experience, and knowledge relevant to the matter, including, for fireworks-related matters, industry standards such as the NFPA 1123, 1124, 1126, and 160 series and applicable DOT/UN explosive classifications.
Litigation support services are paralegal-style support only; we are not attorneys, do not practice law, and provide no legal advice or legal opinions in that role. Expert witness opinions and testimony, offered only on fireworks, pyrotechnics, and special effects matters, reflect our professional judgment based on the information available to us at the time of the engagement. We do not guarantee a particular outcome in any case, investigation, or proceeding. The scope of any litigation support or expert witness engagement, including retention terms, conflicts checks, confidentiality, and work product, is governed by the separate written engagement or retention agreement for that matter, not by these Terms.
Emcee MGMT Co. is not a law firm, and nothing on the Site, in a course, or in a consulting engagement is or should be understood as legal advice. Use of the Site, purchase of a course, or engagement of our consulting services does not create an attorney-client relationship (we are not attorneys), an engineering relationship, or any other licensed-professional relationship, and does not substitute for advice from a licensed attorney, engineer, or other qualified professional where one is needed. Where we support attorneys or legal teams on a matter, our role and the scope of any privilege or confidentiality is governed by the separate written engagement agreement for that matter, not by these Terms.
Specific, paid consulting engagements (as opposed to general use of the Site) will be governed primarily by the separate written proposal, agreement, or engagement letter we provide for that engagement. These Terms apply to the extent they do not conflict with that agreement.
Certificate Verification
Our certificate lookup tool allows you to confirm that a certificate number was issued by Emcee MGMT Co. and reflects completion of the associated course or seminar in our records. A verified certificate confirms completion of our training only. It does not confirm, and should not be relied on as, proof of any state license, permit, certification, or legal authorization. Recognition of our training by any state, employer, or authority having jurisdiction is determined solely by that authority, not by us.
License and Schedule Management Tools
The license tracking and scheduling tools available through your account are provided for your convenience to help you track continuing education requirements, license expiration dates, and scheduling. These tools are informational aids only. We do not guarantee the accuracy of reminders or deadlines generated by these tools, and you remain solely responsible for tracking and complying with your own licensing, continuing education, and scheduling obligations.
Payment and Pricing
Prices for courses and services are listed on the Site in U.S. dollars and are subject to change without notice, except that a change in price will not affect an order already completed. Payment is processed through the payment processors available at checkout; we do not store your full card or payment account details on our servers. You represent that any payment information you provide is accurate and that you are authorized to use the payment method provided.
Acceptable Use
You agree not to: use the Site for any unlawful purpose or in violation of these Terms; attempt to gain unauthorized access to any account, system, or network connected to the Site; copy, scrape, or reproduce Site content or course materials for redistribution or resale; share your course access, login credentials, or certificates with anyone not authorized to use them; or interfere with or disrupt the Site's operation or security.
We may suspend or terminate your account or access to the Site, without refund, for violation of these Terms.
Intellectual Property
All course content, videos, written materials, glossaries, tools, graphics, and the Site itself are owned by Emcee MGMT Consulting, LLC or our licensors and are protected by copyright and other intellectual property laws. Purchasing a course or accessing the Site grants you a limited, non-exclusive, non-transferable license to access that content for your personal or your organization's internal use. No other rights are granted. You may not reproduce, distribute, publicly display, create derivative works from, or commercially exploit our content without our prior written consent.
Third-Party Links and Services
The Site may reference or link to third-party sites, tools, or services (including social media and payment processors) that we do not control. We are not responsible for the content, policies, or practices of any third-party site or service.
Disclaimer of Warranties
The Site, courses, seminars, and tools are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or any course will be uninterrupted, error-free, or secure, or that any information provided is complete, accurate, or current, including with respect to changes in NFPA standards, DOT/UN classifications, or state and local law.
Limitation of Liability
To the fullest extent permitted by law, Emcee MGMT Consulting, LLC, its members, employees, instructors, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, a course, a seminar, or our consulting services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability to you for any claim arising out of or related to the Site, a course, or a consulting engagement will not exceed the total amount you paid to us for the specific course, seminar, or engagement giving rise to the claim in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or bodily injury caused by our negligence where such a limitation is not permitted by law.
Indemnification
You agree to indemnify and hold harmless Emcee MGMT Consulting, LLC, its members, employees, instructors, and contractors from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your violation of any law or regulation, or your (or your organization's) handling, storage, transport, display, or use of any pyrotechnic, fireworks, or special effects material or equipment. A parent or legal guardian who registers a minor for the instructional portion of a seminar indemnifies us on the same terms with respect to that minor's conduct.
Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms, the Site, or our services that cannot be resolved informally will be brought exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you agree to first contact us at info@emceemgmtco.com so we can attempt to resolve the issue informally.
Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page will reflect the most recent revision. Continued use of the Site or our services after a change takes effect constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to provide notice, such as a notice on the Site.
Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any separate engagement agreement, seminar-specific agreement, or liability release referenced above, constitute the entire agreement between you and Emcee MGMT Co. regarding the Site and our services, and supersede any prior agreements on the same subject.
